Terms of service (The Fine Print)
AraHina (NZ) reserves the right to amend these services without notice when and as required. These Terms of Service “Terms of Service”, “Terms” apply to the services “Services” outlined in the proposal that will be provided by AraHina Consultancy Ltd of Dannevirke, New Zealand, herein referred to as “AraHina (NZ)”.

Compensation and Payment
For the Services, the Client will pay AraHina (NZ) the consideration due in accordance with the offer made by AraHina (NZ). Invoices will be sent to the Client at the completion of each delivered workshop and shall be due for payment within 7 days. Late payment may result in penalties of 3% per month. Any debt recovery costs may be added to the client’s account.

Additional Services
All services outside the scope of the Agreement that are requested by the Client and which AraHina (NZ) agrees to perform will be quoted. AraHina (NZ) will notify the Client and the Client must approve in writing (email is sufficient) additional services before they will be performed, although AraHina (NZ) may not necessarily be able to inform the Client in advance of the total cost of such additional services.

Rush Fee
If you are a casual client or need support on a project that needs to be delivered urgently and sooner than the dates I provide - I am happy to support you, however, I will now be charging rush fees which will be 50% of the total cost. This is because late requests can cause delays in my mahi or overflow into my personal time in order for projects to be completed.

Changes to hours or meeting/event scheduling
Occasionally we will need to adjust our schedule to accommodate personal and family commitments, illness, COVID restrictions and school holidays. In this event, you will receive a contact fromAraHina (NZ) in the form of a Social Media message, call, text or email.

Cancellation and Termination Policy
You, the client, have the right to terminate our services; however, if you have paid in full for one-off services - refunds may be provided on a pro-rata basis, based on any mahi completed for the services you have received. This amount will be on a case-by-case basis and there is no guarantee you will receive a refund depending on the work completed/received.

Client Responsibilities
You agree to provide clear communication about design requests, priorities and deadlines. You will ensure AraHina (NZ) is supplied with all relevant resources, content, and information to complete the work requested within the timeframe required.

Ownership of Materials
AraHina (NZ) shall retain the creative rights to all original materials, data and similar items, produced by AraHina (NZ) here under in connection with the Services under this agreement. All services and software used by AraHina (NZ) shall at all times be the sole property of AraHina (NZ) and under no circumstances shall Client have any interest in or rights to the title to such materials, or software.

Confidentiality
AraHina (NZ) will not directly or indirectly disclose client or business information to anyone other than a representative of the client or of AraHIna (NZ) at any time, either during or after completion of any project. We may share your final results or a behind-the-scenes view of work for portfolio and marketing purposes. This will be agreed upon during purchase time or within our project proposal.

Use of Materials
Portfolio Release. Client agrees that the individual providers in AraHina (NZ) itself have the right to use materials created pursuant to this Agreement for AraHina (NZ)'s portfolio, samples, self-promotion including advertising for AraHina (NZ)’s business including without limitation Facebook or Instagram, or any other social media platform. In the event Client wishes to exclude some specific materials from the release under this paragraph, or to limit the time period of such release, AraHina (NZ) and Client may agree in writing to such limitation.

Limitation of Liability
AraHina (NZ) shall not be liable for any incidental, consequential, indirect or special damages, or for any loss of profits or business interruptions caused or alleged to have been caused by the performance or nonperformance of the Services. Client agrees that, in the event AraHina (NZ) is determined to be liable for any such loss, Client's sole remedy against AraHina (NZ) is limited to a refund of payments made by Client for said Services, less expenses paid to subcontractors or to third parties. AraHina (NZ) is not responsible for errors which result from faulty or incomplete information supplied to AraHina (NZ) by Client. Client also agrees to not seek damages in excess of the contractually agreed upon limitations directly or indirectly through suits by or against other parties. AraHina (NZ) shall not be liable to the Client for any costs, damages or delays due to causes beyond its control, expressly including without limitation, unknown site characteristics; changes in policies, changes in terms of services. Before the Commencement of Projects - You, the client, must:- agree to and sign general Conditions of Service. Sign and return your project proposals with design brief details/requests if required and payment must be made in full.

No Guarantee
AraHina (NZ) does not warrant or guarantee any specific level of performance or results. Examples of results obtained for other clients of AraHina (NZ) may be used as a marketing tool and shown to Client for demonstrative purposes only and should not be construed by Client as indicating any promised results or level of results.

Entire Agreement
This Agreement is the final, complete and exclusive Agreement of the Parties. No modification of or amendment to this Agreement shall be effective unless in writing and signed by each of the Parties. Interpretation and Enforcement The parties understand and agree that the construction and interpretation of this Agreement is governed by the laws of New Zealand. In the event that either party must initiate legal action to enforce this Agreement, the Parties agree that the proper venue for such action shall be the courts of New Zealand.

General
AraHina (NZ) reserves the right, at any time, to update prices, services, business hours, and all details noted above in the Terms and Conditions.
